Terms & Conditions

1. Introduction
 

1.1 These terms and conditions (“Conditions”) set out the general terms under which we supply the Services to you. References to in these Conditions “we”, “us” or “WID” are references to White Interior Design Limited, a company registered in England and Wales with company number: 15862007. References in these Conditions to “you” or “your” are references to the company, firm or person specified in the Engagement Letter to which we are supplying the Services.

1.2 These Conditions should be read in conjunction with the Letter of Engagement (“Engagement Letter”), which details the specific conditions, responsibilities and scope of work relating to particular assignments that we will undertake for you (“Services”). In the event of any conflict between these Conditions and the Engagement Letter, the relevant provision in the Engagement Letter will prevail.

1.3 These Conditions and the Engagement Letter together form the contract between us (“Contract”).

1.4 In particular, we draw your attention to clause 18 of these Conditions that deals with limitation of WID's liability in connections with the Services and this Contract.

2. Services

We offer interior design services that include but are not limited to consultation, design planning, sourcing of materials, project management, and implementation ("Services"). The scope of Services will be outlined in a separate agreement or contract, specific to each project.

3. Consultation and Design

3.1 Initial Consultation
The initial consultation may be offered free of charge or for a fee, as determined by the Company. During this session, we will discuss your needs, preferences, and budget.

3.2 Design Proposal
After the consultation, we will provide a design proposal that outlines the project scope, design concepts, and estimated costs. Any revisions to the design will be made in consultation with you and may incur additional charges.

3.3 Approval
No work will commence until the design proposal and fees are approved by you in writing, either through a signed contract or an agreed-upon electronic communication along with the payment.

4. Fees and Payments

4.1 Pricing
The pricing for our Services will be outlined in the design proposal and contract. Prices are subject to change if there are modifications to the project scope or materials.

4.2 Payment Schedule
A payment schedule will be included in the contract, typically requiring an design fees to be paid before work begins, with subsequent payments due at agreed milestones.

4.3 Late Payments
Late payments may incur a fee as outlined in the contract. The Company reserves the right to suspend work if payments are not made according to the agreed schedule.

4.4 Refunds
Deposits and payments are generally non-refundable unless otherwise stated in the contract. Any refunds will be at the sole discretion of the Company.

5. Client Responsibilities

5.1 Accurate Information
You are responsible for ensuring accurate and complete information about the project, including but not limited to measurements, existing conditions, and design preferences.

5.2 Access to Property
You agree to provide us with access to the property as necessary to carry out the Services. Failure to do so may result in delays and additional charges.

5.3 Third-Party Contractors
If third-party contractors are involved in the project, you are responsible for coordinating their work, unless the Company has agreed to manage this as part of the Services.

 

6. Changes to the Project

6.1 Client-Initiated Changes
Any changes requested by you after the design proposal has been approved may result in additional charges and changes to the project timeline.

6.2 Company-Initiated Changes
The Company reserves the right to make changes to the project as necessary, including but not limited to the substitution of materials or adjustments to the design. Any such changes will be communicated to you promptly.

7. Materials and Products

7.1 Sourcing
The Company may recommend or source materials and products for the project. You agree that final approval of all materials is your responsibility.

7.2 Delivery and Storage
The Company is not responsible for delays in delivery or storage issues related to materials and products, unless otherwise agreed upon in writing.

7.3 Warranties
Any warranties on materials and products are provided by the manufacturers or suppliers, not the Company. We will assist you in addressing any warranty claims as necessary.

8. Project Timeline

8.1 Estimated Completion
The project timeline will be outlined in the design proposal and contract. While we strive to adhere to the estimated completion date, delays may occur due to unforeseen circumstances.

8.2 Delays
The Company is not responsible for delays caused by factors beyond our control, including but not limited to, weather conditions, supply chain issues, or third-party contractors.

9. Limitation of Liability

The Company’s liability for any claim arising from the provision of Services shall be limited to the amount paid by you for those Services. Under no circumstances will the Company be liable for any indirect, incidental, or consequential damages.

10. Termination

10.1 By the Company
The Company reserves the right to terminate the contract at any time for any reason, including but not limited to non-payment or breach of these Terms.

10.2 By the Client
You may terminate the contract at any time, subject to payment for all work completed and any materials purchased up to the date of termination.

11. Intellectual Property

All designs, drawings, plans, and other materials created by the Company remain the intellectual property of the Company. You may not reproduce, distribute, or use these materials without our express written permission.

12. Privacy Policy

We are committed to protecting your privacy. Any personal information collected will be used solely for the purposes of providing the Services and will not be shared with third parties without your consent, except as required by law.

13. Governing Law

These Terms and any agreements formed under them shall be governed by and construed in accordance with the laws of the United Kingdom.

14. Dispute Resolution

Any disputes arising from these Terms or the Services provided shall be resolved through mediation or arbitration, as agreed upon by both parties. Litigation will be considered only if these methods fail.

15. Amendments

The Company reserves the right to amend these Terms at any time. Any changes will be communicated to you in writing and will become effective immediately upon your acceptance.
